Welcome to School Club. These Terms of Service and End-User License Agreement ("Terms") constitute a legally binding agreement between you and School Club governing your access to and use of our web platform, APIs, and mobile applications ("Service"). By accessing our Service, you agree to comply with these terms in full.

1. Acceptance & Eligibility

By downloading, installing, accessing, or using School Club, you expressly accept these Terms. If you are accepting on behalf of an educational institution, you represent that you have the full legal authority to bind that entity. Users under the age of 18 must have authorization from their school or parent/guardian.

2. Description of the Platform

School Club is a comprehensive SaaS-based Enterprise Resource Planning (ERP) system designed for educational institutions to manage academics, fee collection, attendance, and communications. The platform is continuously evolving, and we reserve the right to modify, add, or deprecate features at our sole discretion.

3. Account Registration & Security

To use our platform, you will be assigned an account by your respective institution. You are strictly responsible for:

• Maintaining the absolute confidentiality of your login credentials.
• All activities, authorized or unauthorized, occurring under your account.
• Promptly notifying School Club of any suspected security breach.

4. Acceptable Use & Prohibited Conduct

You agree to use the Service exclusively for lawful educational administration purposes. You strictly shall not:

• Reverse engineer, decompile, or attempt to extract the source code of our mobile apps or web portal.
• Deploy bots, spiders, or automated scripts to scrape or mine data from the Service.
• Transmit malicious code, viruses, or payloads that compromise system integrity.
• Use the platform to harass, defame, or infringe upon the rights of others.

5. End-User License Agreement (EULA) for App Stores

If you download our mobile application from the Apple App Store or Google Play Store, the following standard EULA terms apply:

• Acknowledgment: These Terms are concluded between you and School Club only, not with Apple Inc. or Google LLC. School Club is solely responsible for the App and its content.
• Scope of License: You are granted a non-transferable, non-exclusive license to use the App on any Apple-branded or Android device that you own or control.
• Maintenance and Support: School Club is solely responsible for providing any maintenance and support for the App. Apple and Google have no obligation whatsoever to furnish support services.

6. Intellectual Property Rights

School Club retains all title, ownership, and intellectual property rights in the Service (including algorithms, UI/UX designs, trademarks, and logos). No license is granted to you except as expressly set forth herein. Your school retains ownership of the raw data (student records, media) inputted into the platform.

7. Subscriptions, Payments & Refund Policy

For educational institutions subscribing directly to our software, billing terms are dictated by your Master Service Agreement (MSA). Fees paid are strictly non-refundable unless required by law. For parents paying school fees through our integrated payment gateway, School Club acts only as a technology facilitator. Any disputes regarding school fees or refunds must be resolved directly with the educational institution.

8. Limitation of Liability and Warranties

Disclaimer of Warranties: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

Limitation of Liability: Under no circumstances shall School Club, its directors, or affiliates be liable for any indirect, incidental, punitive, or consequential damages (including loss of data, revenue, or academic standing) arising out of your use or inability to use the Service.

9. Suspension and Termination

We reserve the right to suspend or permanently terminate your account without notice if we detect a material breach of these Terms, non-payment of subscription fees by your institution, or activities that threaten the security of other users.

10. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India. Any legal disputes, claims, or proceedings arising out of this agreement shall be brought exclusively in the competent courts located in Lucknow, Uttar Pradesh, India.
